3. Client Obligations and Responsibilities

3.1 Information and Materials

You agree to:

Provide accurate, complete, and timely information required for project completion
Supply all necessary content, materials, images, and data in appropriate formats
Respond to requests for feedback, approvals, and revisions within agreed timeframes
Ensure you have legal rights to all materials provided to us
Maintain backup copies of all content and materials

3.2 Communication and Feedback

Response Times: Provide feedback and approvals within 15 business days unless otherwise specified
Project Delays: Delays caused by late client feedback may result in project timeline adjustments
Approval Process: Written approval is required for major milestones and final deliverables

4. Payment Terms and Conditions

4.1 Pricing and Invoicing

All prices are quoted in Indian Rupees (INR) unless otherwise specified
Prices are exclusive of applicable taxes (GST) and any additional duties
Payment schedules are defined in individual project proposals
Invoices are issued according to agreed payment milestones

4.2 Payment Methods and Terms

5. Refund and Cancellation Policy

5.1 Refund Categories

Full Refund (100%):

Project cancellation within 48 hours of initial payment
Project not commenced by our team
Initial design concepts not approved within 30 days of presentation
Failure to deliver as per agreed specifications due to our inability

Partial Refund (Pro-rated):

Project cancellation after commencement but before 50% completion
Refund calculated based on work completed vs. total project scope
Deduction of time spent on strategy, research, and completed work

No Refund:

Project completion as per agreed specifications
Client-requested changes beyond original scope
Cancellation after 50% project completion
Digital products already delivered and approved
Services already performed (SEO, marketing campaigns, consultations)

5.2 Service-Specific Refund Terms

Web Design & Development:

Full refund if initial design concepts not approved within 30 days
Partial refund based on completed phases (design, development, testing)
No refund once website is launched and approved

Branding Services:

Full refund if initial concepts not approved within 21 days
No refund once final logo/brand assets are delivered and approved
Partial refund for multi-phase branding projects based on completion

Digital Marketing Services:

Monthly services: 48-hour cancellation window for full refund
Campaign setup fees are non-refundable once campaigns are live
Ad spend budgets are separate from service fees

SEO Services:

7-day cooling-off period for new SEO contracts
No refund for work already performed in ongoing monthly retainers
Partial refund for annual contracts based on remaining months

5.3 Refund Process and Timeline

Review Period: 5-10 business days to review refund requests
Processing Time: 15-30 business days once approved
Refund Method: Original payment method or bank transfer
Documentation: Valid invoice and project details required

5.4 Non-Refundable Items

Third-party software licenses and subscriptions
Domain registrations and hosting fees
Stock photography and premium assets
Printing and production costs
Travel expenses and on-site consultation fees

6. Intellectual Property Rights

6.1 Client-Owned Content

You retain ownership of all content, materials, and information provided to us, including text, images, trademarks, and proprietary information.

6.2 Work Product Ownership

Upon Full Payment: You receive full ownership rights to final deliverables
Before Payment: We retain ownership until final payment is received
Source Files: Provided upon full payment completion

6.3 Company Rights

We retain the right to:

Display completed work in our portfolio and marketing materials
Use project as a case study (with client permission)
Retain working files, preliminary designs, and development iterations

6.4 Third-Party Assets

Stock photos, fonts, and plugins may have separate licensing terms
Client is responsible for obtaining necessary licenses for ongoing use
We will identify any third-party assets requiring separate licensing

7. Limitation of Liability and Disclaimers

10.3 Delays and Extensions

Client-caused delays may result in timeline and cost adjustments

Force majeure events may extend delivery timelines

11. Termination

11.1 Termination by Client

You may terminate services by providing written notice. Termination terms:

Payment for all work completed to termination date
Delivery of work completed to termination point
No refund for work already completed and approved

11.2 Termination by Company

We may terminate services if:

Payment terms are not met despite notice
Client breaches these Terms materially
Client engages in abusive or inappropriate behavior
Project requirements change beyond original scope

11.3 Effect of Termination

All payment obligations remain in effect
We will deliver all completed work upon payment
Confidentiality obligations survive termination

12. Indemnification

You agree to indemnify and hold harmless Ohmyweb Innovations Private Limited from any claims, damages, or expenses arising from:
